Kanzu Code Inc. Terms of Service

These Terms of Service (“Terms”) govern your use of the website https://vapify.agency (the “Service”) and any related products or services provided by Kanzu Code Inc. (“Kanzu”, “we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, do not access or use the Service.

1. Services

Kanzu provides a white-label interface platform for third-party AI voice services (“Platform Services”), and may also provide custom development services (“Custom Services”). Kanzu does not operate or control the underlying AI voice services (such as Vapi or Retell) or the telephony or call recording functionality provided by those third-party providers. Use of these third-party services is subject to their respective terms of service.

2. Purchases and Subscriptions

2.1 Purchases

If you purchase Custom Services, you may be required to provide payment and billing information, including credit card or PayPal details. You represent and warrant that:

  1. You have the legal right to use any payment method; and
  2. The information you provide is accurate and complete.

Kanzu may share necessary payment information with third parties to facilitate processing of your purchase. We reserve the right to refuse or cancel orders for any reason, including suspected fraud or errors in pricing.

2.2 Subscriptions

Certain Platform Services are billed on a subscription basis (“Subscription”), on a monthly or annual Billing Cycle. Subscriptions automatically renew under the same conditions unless canceled by you or by Kanzu.

You must provide valid billing information, and by submitting payment information, you authorize Kanzu to charge all Subscription fees to that payment method. If automatic billing fails, you will be notified to complete payment manually.

2.3 Refunds

Refunds are considered on a case-by-case basis at Kanzu’s sole discretion. Refunds may only be granted for issues directly caused by Kanzu’s Platform Services. Issues originating with third-party AI providers are not eligible for refunds.

3. Third-Party AI Services Disclaimer

Kanzu acts solely as an interface to third-party AI voice providers. Kanzu does not guarantee the functionality, accuracy, availability, or compliance of third-party services. You acknowledge that:

  • Kanzu is not responsible for any AI output, recordings, transcripts, or telephony actions performed by third-party providers;
  • You remain solely responsible for ensuring compliance with all applicable laws, including call recording, telecommunication, and privacy laws;
  • Use of third-party services is at your own risk, and Kanzu makes no warranties regarding their availability or accuracy.

4. Accounts

To use certain features, you may need to create an account. You agree to:

  • Provide accurate, complete, and current information;
  • Safeguard your password;
  • Notify Kanzu immediately of any unauthorized use of your account;
  • Not use another entity’s name, trademark, or offensive content as your username.

Kanzu may create an account for you automatically when you register for a free trial or purchase a subscription.

You may request deletion of your data, except where retention is necessary to process purchases or comply with legal obligations.

5. Intellectual Property

  • Kanzu retains all rights, title, and interest in the Platform Services, Custom Services, and all associated intellectual property.
  • You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform Services solely for your internal business purposes.
  • For Custom Services, ownership of custom deliverables is typically transferred to you upon full payment, while Kanzu retains ownership of pre-existing frameworks, tools, and components.

6. Fees and Changes

Kanzu may modify subscription fees at any time, effective at the end of the current Billing Cycle. Reasonable notice will be provided. Your continued use after the fee change constitutes acceptance of the new fees.

7. Availability, Errors, and Inaccuracies

Kanzu strives to provide accurate information about products and services but does not guarantee that all information, pricing, or availability is correct or complete. Information may be updated without notice.

8. Limitations of Liability

To the maximum extent permitted by law:

  • Kanzu’s total liability arising from or related to these Terms, the Platform Services, or Custom Services is limited to the fees you paid in the 12 months preceding the claim.
  • Kanzu is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption.
  • This limitation does not apply to willful misconduct or gross negligence.

9. Indemnification

You agree to indemnify and hold harmless Kanzu, its officers, directors, employees, and affiliates from any claims, damages, or liabilities arising from:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of applicable laws;
  • Any actions by third-party AI services that you access through Kanzu.

10. Support

Kanzu provides support for Platform Services while they are actively maintained. We do not guarantee resolution of all support requests or compatibility with every third-party service. Kanzu reserves the right to discontinue support or products at any time.

11. Termination

Kanzu may suspend or terminate your access for violations of these Terms. You may cancel subscriptions at any time. Upon termination, all licenses granted to you will immediately cease.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

13. Miscellaneous

  • Force Majeure: Kanzu is not liable for delays or failures caused by events beyond reasonable control.
  • Entire Agreement: These Terms constitute the entire agreement between you and Kanzu regarding the Service.
  • Severability: If any part of these Terms is unenforceable, the remaining provisions remain in effect.
